What is the likely impact on private capital investment for America’s small – middle- market companies. This legislation makes sweeping changes to the traditional notions of what constitutes a public offering and provides new exemptions for “emerging growth companies” and “crowd funding.” The panelists will provide an overview of the Act and will discuss the practical implications with the audience.
 
 Under the Jumpstart Our Business Startups Act (the “JOBS Act”), which was enacted on April 5, 2012, a qualified business will be able to raise cash without meeting all the usual SEC requirements for initial public offerings. While the new law makes it easier for a qualified business to attract investors, the process is not as simple as you might think. It will still take time and resources in order to qualify for “emerging growth company” status and take advantage of crowdfunding. Join us to learn how this this may be the most significant act of Congress for small business in decades and should stimulate liquidity coming into the lower mid-market.

Doug Tatum – Chairman of the advisory panel of IEGC a research institute funded by the NASDQ and Edward Lowe Foundations will share the results of the organization’s work recently completed on the dynamics of the US middle market economy and companies stuck in No Man’s Land – struggling with the fact that they are “too big to be small and too small to be big”. His book on the subject has received 4 National Best Business Book awards including being added to the recent edition of the compilation of the Best Business Books ever written.

Doug serves as Chairman of Newport Board Group and its affiliated investment firm Evolution Capital Partners; and is Associate Professor of Entrepreneurship and holder of the Wright Chair in Entrepreneurship at Middle Tennessee State University.Doug served as Chairman and CEO of Tatum LLC for over 17 years, growing the company to the largest executive services consulting firm in the US with over 1000 employees and professionals in 30 offices. He then served on the Board of Tatum LLC and later as Chairman Emeritus until the company merged with Spherion Corporation (NYSE:SFN) in early 2010.He is a recognized expert on the capital markets and entrepreneurial growth businesses, having testified before Congress on more than one occasion concerning the financing issues faced by growing companies and US tax policy.

He speaks to groups of CEO’s nation-wide on the material included in his award winning book No Man’s Land: A Survival Manual for Growing Midsize Companies.

Announcing Our 2012 Conference Chair

We are very happy to announce Kyle Madden of KLH Capital as our conference Chairman for our next two conferences.

Mr. Madden is a Vice President with KLH Capital, a Private Equity group located in Tampa, FL, and is primarily responsible for business development, due diligence, and marketing efforts.  Prior to joining the firm, Mr. Madden worked with MassMutual Financial Group as a Brokerage Director in Tampa, FL.  An Amherst, New Hampshire native, Mr. Madden graduated from the John H. Sykes College of Business at The University of Tampa with a B.S. in Finance.

Kyle has been an integral part of many of the previous AM&AA conferences through sponsorship, leading sessions, and assisting the conference committee with outreach to build conference attendance.
